End User License Agreement
Effective date: April 7, 2026
Please read this End User License Agreement ("EULA") carefully before using Vrge. By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.
1. Definitions
- "Software" means the Vrge desktop application, including all associated files, libraries, and documentation delivered as part of the installation.
- "Licensor" means TRD Ventures LLC, a limited liability company organized under the laws of the State of New Mexico, USA.
- "Licensee" (also "you" or "your") means the individual or organization that purchases, downloads, or otherwise obtains a license to use the Software.
- "License Key" means the unique HMAC-SHA256 signed activation key issued to the Licensee upon purchase, used to validate and activate the Software.
2. License Grant
Subject to the terms of this EULA and payment of the applicable license fee, the Licensor grants the Licensee a perpetual (for the version purchased), non-exclusive, non-transferable, non-sublicensable license to use the Software as follows:
Solo License ($79)
Grants one (1) natural person the right to install and use the Software on up to two (2) personal devices, provided only one instance is actively used at a time.
Team License ($149)
Grants one (1) organization the right to install the Software for unlimited users within that organization, including the right to run one (1) self-hosted server instance for team collaboration.
3. License Keys
Each License Key is unique and cryptographically signed. The Licensee must not share, publish, or otherwise disclose their License Key to any third party. The Licensee must not attempt to reverse-engineer, modify, forge, or tamper with the License Key or any part of the license validation system. Sharing or publicly disclosing a License Key constitutes a material breach of this EULA.
4. Add-ons
Add-on products (including but not limited to premium templates and white-label portal branding) are licensed separately and are tied to the License Key associated with the original Software purchase. All restrictions and terms of this EULA apply equally to add-ons. Add-ons may not be separated from the associated License Key or transferred independently.
5. Trial Period
The Software includes a fourteen (14) day free trial period with full Solo-tier features. Upon expiration of the trial period, the Software will convert to an expired state and the Licensee must purchase a license to continue using the Software. The trial period may not be reset, extended, or restarted by any means. Circumventing the trial period limitation constitutes a breach of this EULA.
6. Updates & Upgrades
The Licensor may, at its sole discretion, provide updates (bug fixes, minor improvements) within the major version purchased. Such updates are provided free of charge. The Licensor is under no obligation to provide updates, maintenance, or support of any kind. Major version upgrades (e.g., v1 to v2) may require a separate license purchase, which may be offered at a discounted rate to existing Licensees.
7. Restrictions
The Licensee shall NOT:
- Redistribute, sublicense, sell, rent, lease, or otherwise transfer the Software or any rights therein to any third party.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software or its license validation system.
- Remove, alter, obscure, or deface any proprietary notices, labels, trademarks, or branding included in the Software.
- Use the Software, in whole or in part, to develop, market, or distribute a product or service that competes with the Software.
- Share, publish, post, or otherwise disclose any License Key issued under this EULA.
8. Intellectual Property
All rights, title, and interest in and to the Software — including but not limited to all copyrights, patents, trade secrets, trademarks, and other intellectual property rights — are and shall remain the exclusive property of TRD Ventures LLC. This EULA grants the Licensee a limited right to use the Software and does not convey any ownership interest in or to the Software.
9. Data Ownership
All data created by the Licensee using the Software belongs solely to the Licensee. The Software operates offline-first; the Licensor has no access to, claim over, or responsibility for any user data. The Licensee is solely responsible for maintaining backups of their data. The Licensor shall not be liable for any loss or corruption of user data under any circumstances.
10. Self-Hosted Server
Team License holders may deploy the server component of the Software on their own infrastructure for use by members of their organization. The Licensor is not responsible for the security, uptime, data integrity, or performance of any self-hosted server instance. The Licensee is solely responsible for ensuring that their self-hosted deployment complies with all applicable local, state, national, and international laws and regulations.
11. Disclaimer of Warranties
The Software is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Licensor does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall TRD Ventures LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to the Licensee's use of or inability to use the Software. In all cases, the Licensor's total aggregate liability shall not exceed the amount actually paid by the Licensee for the license.
13. Termination
This EULA is effective until terminated. The license granted herein will terminate automatically and without notice if the Licensee breaches any term of this EULA. Upon termination, the Licensee must immediately cease all use of the Software and destroy all copies, full or partial, in their possession or control. Termination does not affect the Licensee's ownership of data created using the Software prior to termination. Sections 7, 8, 11, 12, and 14 shall survive termination.
14. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of law provisions. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in the State of New Mexico.
15. Severability
If any provision of this EULA is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
16. Entire Agreement
This EULA constitutes the entire agreement between the Licensee and the Licensor with respect to the Software and supersedes all prior or contemporaneous understandings, communications, or agreements, written or oral, regarding the Software.
