Terms of Service

By downloading, installing, or using Vrge, you agree to be bound by these Terms. If you are using the Software on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

If you do not agree to these Terms, do not download, install, or use the Software.

Subject to your compliance with these Terms and valid payment (or during an active free trial), we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software as follows:

• Solo License ($79) — Licensed to a single individual for use on one device at a time. You may install the Software on multiple personal devices, but only one instance may be actively used at any given time.
• Team Starter License ($299) — Licensed to a single organization for use by up to five (5) users within that organization. Includes the self-hosted server component for internal collaboration.
• Team Studio License ($699) — Licensed to a single organization for use by up to fifteen (15) users within that organization. Includes the self-hosted server component for internal collaboration.
• Team Agency License ($1,499) — Licensed to a single organization for use by an unlimited number of users within that organization. Includes the self-hosted server component for internal collaboration. Each organization requires its own Team license.

Both licenses are perpetual for the major version purchased. For example, a license purchased for Vrge v1 entitles you to use any v1.x release indefinitely. See Section 5 for details on major version upgrades.

Team-license activation model. Team licenses (Starter, Studio, and Agency) are activated once per organization by a designated administrator on the organization's self-hosted server instance. Additional users within the user cap of the applicable tier join via email invite from the administrator and do not require their own license key or separate activation.

You may not transfer, sublicense, rent, lease, or lend your license to any third party. The license is tied to the purchasing individual or organization.

Vrge offers a 14-day free trial that provides access to the full Solo feature set. No payment information is required to start the trial.

The trial period begins on the date you first install and activate the Software and expires 14 calendar days later. Trial periods cannot be extended, paused, or reset. Once the trial expires, you must purchase a license to continue using the Software.

All purchases are processed through our payment provider, Lemon Squeezy. By completing a purchase, you agree to Lemon Squeezy's terms of service in addition to these Terms.

Vrge is sold as a one-time purchase. There are no recurring subscription fees for the core Software.

Try before you buy. Vrge offers a free 14-day trial (see §3) so you can run every feature on your own hardware, with your own data, before paying. Once you purchase a license, all sales are final — because Vrge is a digital product delivered electronically, we do not offer refunds, returns, or exchanges as a matter of policy.

If Vrge fails to install or has a critical bug that prevents normal use within the first 30 days of purchase, email support@getvrge.com and we will work with you to resolve the issue or, at our discretion, issue a refund.

We reserve the right to change pricing at any time. Price changes will not affect existing purchases — your license remains valid regardless of future price adjustments.

Your license entitles you to all free updates within the major version you purchased (e.g., all v1.x updates if you purchased a v1 license). These updates may include bug fixes, performance improvements, and minor feature additions.

Major version upgrades (e.g., v1 to v2) constitute a new product release and may require a separate purchase. Existing customers will be offered a discounted loyalty upgrade price. We are under no obligation to release major version upgrades or to maintain any particular upgrade pricing.

We may offer optional add-ons for purchase, including but not limited to premium templates and white-label portal branding. Each add-on is a separate one-time purchase.

Add-ons are tied to your license key and are subject to the same no-refund policy described in Section 4. Add-ons may have additional terms specific to their functionality, which will be presented at the time of purchase.

The Team license includes a self-hosted server component that enables collaboration among users within your organization. You are solely responsible for:

• Provisioning and maintaining the server infrastructure
• Securing your server against unauthorized access
• Performing regular backups of all server data
• Ensuring compliance with applicable data protection laws
• Managing user access and permissions

TRD Ventures LLC provides the server software only. We do not host, manage, monitor, or back up your server. We are not responsible for any data loss, security breaches, or downtime related to your self-hosted infrastructure.

You agree that you will not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software or its license verification system
• Copy, redistribute, sublicense, resell, or make the Software available to any third party outside the scope of your license
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software
• Use the Software for any purpose that is unlawful or prohibited by these Terms
• Circumvent, disable, or interfere with any license enforcement or security features of the Software

Violation of these restrictions may result in immediate termination of your license without refund.

Vrge is an offline-first application. Your project data, client information, emails fetched by the observer, calendar events, bank transactions, and files are stored locally on your device in a SQLite database. We do not collect, transmit, access, or store this data on our servers.

Your data is yours. We have no access to the contents of your local database, and we have no ability to recover your data if it is lost or corrupted. You are responsible for maintaining your own backups.

Optional cloud AI.The Software includes an optional feature that sends prompts to third-party AI providers (Anthropic, OpenAI, Google) or to a local Ollama instance. Cloud AI is off by default. When you enable a cloud provider, the Software sends requests directly from your device to that provider using your own API key; we do not relay, log, or store these calls. When you use your own API key, the default is to send full content to your provider account for the best results; you may switch to redacted, local-summary, or strict modes per source in Settings → AI, and preview exactly what is sent before doing so. (The separate, optional Vrge Managed AI tier is always redact-by-default.) Your use of a cloud provider is governed by that provider's own terms.

Optional source integrations. The Software includes optional OAuth integrations with Gmail, Google Calendar, Outlook Mail, and Outlook Calendar, and file / bank imports. All source integrations are off by default and run directly between your device and the third party; we do not hold the OAuth tokens or proxy the data.

The Software is a general-purpose business tool and is not certified for use with regulated data categories. In particular:

• HIPAA / PHI. TRD Ventures LLC is not a HIPAA-covered entity and is not a Business Associate. The Software is not a HIPAA-compliant system. You must not use the Software to store, process, or transmit Protected Health Information that is subject to HIPAA.
• PCI-DSS. Do not enter raw payment card numbers into any field of the Software. Payment processing is handled exclusively by Lemon Squeezy.
• Children. The Software is not directed to children under 13, and you represent that you are at least 13 years old (or 16 if you are located in the European Economic Area or the United Kingdom) when using the Software.

If your work involves regulated data, use the local Ollama AI provider, keep source integrations disabled, and consult your compliance counsel before using the Software.

The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, TRD Ventures LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, secure, or meet your specific requirements. You assume all risk associated with the installation and use of the Software.

To the maximum extent permitted by applicable law, in no event shall TRD Ventures LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Software, regardless of the cause of action or the theory of liability.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or your use of the Software exceed the amount you actually paid to us for the Software license.

Before filing any formal legal action, you agree to contact us at support@getvrge.com with a description of your dispute. We will attempt in good faith to resolve it informally within 30 days. This informal resolution step is a precondition to initiating any formal proceeding.

Small-claims court is always available to either party for claims within that court's jurisdiction.

Nothing in these Terms limits any consumer-protection rights that cannot be waived under the law of your place of residence.

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of laws principles. Subject to Section 13 and the consumer-rights carve-out in that section, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New Mexico.

Neither party will be liable for any delay or failure in performance (other than payment obligations) caused by events beyond reasonable control, including acts of nature, war, civil disturbance, government action, labor disputes, network or infrastructure outages of third parties, or cyberattack. The affected party will use commercially reasonable efforts to resume performance as soon as practicable.

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

We may modify these Terms from time to time. Updated Terms will be posted on this page with a revised effective date.

Non-material changes (typos, clarifications, updated contact details) take effect on posting. Your continued use of the Software after posting constitutes acceptance of such changes.

Material changes (changes to your substantive rights, pricing, license scope, or data practices) will be communicated at least 30 days in advance by email to your license-holder address and by an in-app notice. If you do not agree to a material change, you may stop using the Software; the no-refund policy in Section 4 still applies unless the change would materially reduce what you paid for, in which case we will offer a pro-rated credit at our sole discretion.

You are responsible for your own credentials at financial institutions, payment processors, and other third-party services that you connect to the Software. Vrge does not store, see, or have access to your bank login, password, or other authentication credentials with these services — Plaid handles bank authentication, Stripe handles Stripe authentication, and so on, on each provider's own domain. If you suspect your bank credentials have been compromised, contact the financial institution directly; revoking Vrge's read access does not protect against compromised bank credentials. You are also responsible for any fees, transaction limits, or terms imposed by your financial institution or the connected service.

The Software includes features that categorize business expenses, generate quarterly profit-and-loss summaries, and produce IRS Schedule C-style reports. These features are informational only and do not constitute professional tax, accounting, financial, or legal advice. Vrge is not a CPA, tax preparer, attorney, or licensed financial advisor. Categorizations are heuristic and may be incorrect. You are responsible for verifying every entry before relying on it for tax filing, financial reporting, or any other consequential decision. Always consult a qualified professional before filing tax returns or making financial decisions based on the Software's outputs.
