Terms of Service

By downloading, installing, or using Vrge, you agree to be bound by these Terms. If you are using the Software on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

If you do not agree to these Terms, do not download, install, or use the Software.

Subject to your compliance with these Terms and valid payment (or during an active free trial), we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software as follows:

• Solo License ($79) — Licensed to a single individual for use on one device at a time. You may install the Software on multiple personal devices, but only one instance may be actively used at any given time.
• Team License ($149) — Licensed to a single organization for use by an unlimited number of users within that organization. The Team license includes the self-hosted server component for internal collaboration. Each organization requires its own Team license.

Both licenses are perpetual for the major version purchased. For example, a license purchased for Vrge v1 entitles you to use any v1.x release indefinitely. See Section 5 for details on major version upgrades.

You may not transfer, sublicense, rent, lease, or lend your license to any third party. The license is tied to the purchasing individual or organization.

Vrge offers a 14-day free trial that provides access to the full Solo feature set. No payment information is required to start the trial.

The trial period begins on the date you first install and activate the Software and expires 14 calendar days later. Trial periods cannot be extended, paused, or reset. Once the trial expires, you must purchase a license to continue using the Software.

All purchases are processed through our payment provider, Lemon Squeezy. By completing a purchase, you agree to Lemon Squeezy's terms of service in addition to these Terms.

Vrge is sold as a one-time purchase. There are no recurring subscription fees for the core Software.

All sales are final. Because Vrge is a digital product delivered electronically, we do not offer refunds, returns, or exchanges. By completing your purchase, you acknowledge and agree to this no-refund policy.

We reserve the right to change pricing at any time. Price changes will not affect existing purchases — your license remains valid regardless of future price adjustments.

Your license entitles you to all free updates within the major version you purchased (e.g., all v1.x updates if you purchased a v1 license). These updates may include bug fixes, performance improvements, and minor feature additions.

Major version upgrades (e.g., v1 to v2) constitute a new product release and may require a separate purchase. Existing customers will be offered a discounted loyalty upgrade price. We are under no obligation to release major version upgrades or to maintain any particular upgrade pricing.

We may offer optional add-ons for purchase, including but not limited to premium templates and white-label portal branding. Each add-on is a separate one-time purchase.

Add-ons are tied to your license key and are subject to the same no-refund policy described in Section 4. Add-ons may have additional terms specific to their functionality, which will be presented at the time of purchase.

The Team license includes a self-hosted server component that enables collaboration among users within your organization. You are solely responsible for:

• Provisioning and maintaining the server infrastructure
• Securing your server against unauthorized access
• Performing regular backups of all server data
• Ensuring compliance with applicable data protection laws
• Managing user access and permissions

TRD Ventures LLC provides the server software only. We do not host, manage, monitor, or back up your server. We are not responsible for any data loss, security breaches, or downtime related to your self-hosted infrastructure.

You agree that you will not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software or its license verification system
• Copy, redistribute, sublicense, resell, or make the Software available to any third party outside the scope of your license
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software
• Use the Software for any purpose that is unlawful or prohibited by these Terms
• Circumvent, disable, or interfere with any license enforcement or security features of the Software

Violation of these restrictions may result in immediate termination of your license without refund.

Vrge is an offline-first application. Your project data, client information, and files are stored locally on your device in a SQLite database. We do not collect, transmit, access, or store your project data on our servers.

Your data is yours. We have no access to the contents of your local database, and we have no ability to recover your data if it is lost or corrupted. You are responsible for maintaining your own backups.

The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, TRD Ventures LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, secure, or meet your specific requirements. You assume all risk associated with the installation and use of the Software.

To the maximum extent permitted by applicable law, in no event shall TRD Ventures LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Software, regardless of the cause of action or the theory of liability.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or your use of the Software exceed the amount you actually paid to us for the Software license.

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New Mexico.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Software after any changes constitutes your acceptance of the updated Terms.

For material changes, we will make reasonable efforts to notify you via email or through the Software. However, it is your responsibility to review these Terms periodically.
